1.1 Client means any individual, company or business instructing Dominion Debt Recovery
Limited to provide the Services.
1.2 Debt means any sum owed to the Client which Dominion Debt Recovery Limited is
instructed to recover.
1.3 Debtor means the individual, company or entity liable to pay the Debt.
1.4 Services means all recovery, collection, negotiation and related actions undertaken to
recover the Debt.
1.5 Recovered Sums means any money, payment, asset, credit, set off, reduction,
settlement or other financial benefit received by the Client or any third party which reduces
or satisfies the Debt in whole or in part.
1.6 Commission means the fee payable to Dominion Debt Recovery Limited on Recovered
Sums.
2.1 The Client’s instruction to Dominion Debt Recovery Limited to act, whether by email,
WhatsApp, telephone, submission of case details or any other written or recorded
communication, constitutes acceptance of these Terms of Business and forms a legally
binding agreement.
2.2 By providing debtor details or requesting that recovery action commences, the Client
confirms agreement to these Terms.
2.3 These Terms apply to all Services and override any terms proposed by the Client unless
agreed in writing.
3.1 Dominion Debt Recovery Limited will undertake recovery action using reasonable care
and skill.
3.2 Services may include written demands, telephone contact, negotiation and settlement
discussions.
3.3 Legal action will only be pursued with the Client’s prior approval.
4.1 Services are provided on a no win no fee basis for UK debts unless otherwise agreed in
writing.
4.2 No Commission is payable where no recovery is made, subject to compliance with these
Terms.
5.1 Commission is payable on all Recovered Sums.
5.2 Commission applies whether payment is received by:
● Dominion Debt Recovery Limited
● the Client directly
● any third party connected to the Client
5.3 Commission shall be agreed in writing. Where no rate is agreed, a standard rate of 20
percent shall apply.
5.4 A minimum Commission of £50 applies to any successful recovery.
5.5 Commission becomes due immediately upon receipt of Recovered Sums.
5.6 Commission must be paid within 7 days of invoice.
5.7 Where the Client fails to notify Dominion Debt Recovery Limited of payment, settlement
or communication received in relation to the Debt, Commission shall remain payable in full
and may be immediately invoiced.
6.1 Commission is payable on any Recovered Sums arising after Dominion Debt Recovery
Limited has commenced recovery action.
6.2 Recovery action is deemed to have commenced upon any contact, demand or action
taken in relation to the Debt.
6.3 Commission applies to:
● direct payments
● settlements
● instalment agreements
● credit notes or offsets
● any financial benefit received in relation to the Debt
7.1 The Client shall not:
● communicate, negotiate or settle with the Debtor without notifying Dominion Debt
Recovery Limited
● accept payment directly without immediate notification
● use Dominion Debt Recovery Limited as leverage to secure payment and then
withdraw
● provide false, misleading or incomplete information
7.2 The Client must notify Dominion Debt Recovery Limited on the same day of:
● any payment received
● any offer or settlement
● any communication from the Debtor
7.3 Where the Client breaches this clause in a manner that prevents, interferes with or
undermines recovery of the Debt, Dominion Debt Recovery Limited shall be entitled to
charge Commission on any Recovered Sums and may, where appropriate, charge
Commission up to the full value of the Debt.
8.1 The Client shall:
● provide accurate, complete and truthful information
● supply all relevant documentation
● cooperate fully with recovery efforts
8.2 The Client warrants that all Debts submitted are valid, lawful and not subject to dispute
unless disclosed in writing.
8.3 Dominion Debt Recovery Limited accepts no liability for losses arising from inaccurate or
misleading information.
9.1 Once recovery action has commenced, the Client may not withdraw instruction in order
to avoid or reduce Commission.
9.2 Recovery action is deemed to have commenced upon Dominion Debt Recovery Limited
taking any step in relation to the Debt, including issuing communication, making contact or
initiating recovery procedures.
9.3 Where the Client withdraws instruction after recovery action has commenced, Dominion
Debt Recovery Limited shall be entitled to charge Commission on any Recovered Sums and
may charge Commission up to the full value of the Debt where the withdrawal prevents or
undermines recovery.
9.4 Withdrawal includes:
● requesting closure of the matter
● failing to respond or provide instructions
● settling directly with the Debtor without notification
● preventing or restricting further recovery action
9.5 Dominion Debt Recovery Limited reserves the right to enforce Commission on any
subsequent recovery connected to the Debt.
10.1 Either party may terminate this agreement by written notice.
10.2 Termination by the Client shall not affect any accrued rights, including the obligation to
pay Commission.
10.3 Commission remains payable on:
● any Recovered Sums received after termination
● any payment arising from Dominion Debt Recovery Limited’s involvement
● any agreement or settlement connected to the Debt
10.4 Commission shall remain payable on any Recovered Sums received within 6 months of
termination.
10.5 Where the Client terminates this agreement after recovery action has commenced,
Dominion Debt Recovery Limited shall remain entitled to Commission on any Recovered
Sums and may charge Commission up to the full value of the Debt where termination
prevents or undermines recovery.
10.6 Any attempt to terminate or otherwise avoid payment of Commission following recovery
action shall be treated as a breach of these Terms and Commission shall become payable in
accordance with these provisions.
11.1 All recovered monies shall be paid directly to the Client unless otherwise agreed.
11.2 The Client must notify Dominion Debt Recovery Limited immediately upon receipt of
any payment.
11.3 Commission invoices must be paid within 7 days.
11.4 Dominion Debt Recovery Limited reserves the right to demand immediate payment
where:
● payment has not been disclosed
● the Client is in breach of these Terms
● the Client has withdrawn or interfered
11.5 Interest may be charged on overdue sums in accordance with the Late Payment of
Commercial Debts legislation.
12.1 Legal action will only be taken with the Client’s prior approval.
12.2 All court fees, legal costs and disbursements are the responsibility of the Client.
12.3 Recovery of such costs is not guaranteed.
13.1 Dominion Debt Recovery Limited shall perform the Services using reasonable care and
skill.
13.2 Dominion Debt Recovery Limited does not guarantee recovery and accepts no
responsibility for the outcome.
13.3 All commercial risk remains with the Client.
13.4 Dominion Debt Recovery Limited shall not be liable for:
● failure to recover the Debt
● debtor insolvency or refusal to pay
● disputes or legal challenges
● inaccurate information provided by the Client
● actions of the Debtor or third parties
● delays, enforcement failure or court outcomes
13.5 Dominion Debt Recovery Limited shall not be liable for:
● loss of profit
● loss of business
● loss of opportunity
● loss of goodwill
● indirect or consequential loss
13.6 Liability is limited to the total Commission received in relation to the relevant Debt.
13.7 Nothing excludes liability where it cannot be excluded by law.
14.1 The Client agrees to indemnify Dominion Debt Recovery Limited against all claims,
costs, losses and expenses arising from:
● inaccurate or misleading information
● disputes relating to the Debt
● claims by the Debtor or third parties
● instructions given by the Client
15.1 Both parties shall comply with applicable data protection laws including UK GDPR.
15.2 The Client authorises Dominion Debt Recovery Limited to process and share data as
required to perform the Services.
16.1 These Terms constitute the entire agreement between the parties.
16.2 If any provision is found to be invalid or unenforceable, the remaining provisions shall
remain in full force and effect.
16.3 Failure to enforce any provision shall not constitute a waiver of rights.
17.1 These Terms are governed by the laws of England and Wales.
17.2 The courts of England and Wales shall have exclusive jurisdiction.
